- Quantity, unit price, total value

- Delivery terms (Incoterms)

- Delivery time & location

- Payment terms

Legal Status: A PO becomes binding only when the seller accepts it (in writing or through the act of fulfilling the order).

Advantages: Quick and easy to issue; suitable for recurring transactions or trusted partners.

Limitations: Less detailed than a contract; does not cover as many potential dispute scenarios.

2️⃣ Sales Contract

Issuer: Drafted and signed by both the buyer and the seller.

Function: A bilateral commitment that fully defines the rights and obligations of both parties.

Key Content:

- Information on the parties involved

- Detailed goods description (specifications, quality, inspection standards)

- Price and payment method

- Delivery terms (Incoterms)

- Dispute resolution clauses

- Clauses on governing law and commercial arbitration

- Provisions regarding claims and warranties (if applicable)

Legal Status: Legally binding as soon as both parties sign.

Advantages: Better protection of the parties' interests, especially for high-value or complex transactions.

Limitations: Requires more time for drafting and negotiation compared to a PO.
